LIVVO Terms of Use

Introduction
LIVVO LLC ("LIVVO") owns and operates the website www.itslivvo.com (the "Site"). Your use of the Site, and any
products, features, content, applications, or services made available through it (collectively, the "Services") constitutes your agreement to these Terms of Use ("Terms"). These Services may include offerings made in collaboration with contracted medical providers or third-party healthcare platforms.

By accessing or using any part of the Site or Services, you agree to be bound by these Terms. If you do not agree with
these Terms or any referenced policies, including our Privacy Notice available at www.itslivvo.com, you are prohibited from using the Site and must discontinue use immediately.

Agreement to Terms
These Terms form a legally binding agreement between you ("you," the user) and LIVVO. You acknowledge that even if
you access LIVVO Services through a third-party platform, these Terms apply directly between you and LIVVO.
We reserve the right to update these Terms and any referenced policies at any time. If changes are made, we will update the "Last Updated" date at the top of this page. Your continued use of the Site or Services after such changes
constitutes acceptance of the new Terms.

Requirements for Use
You must have a compatible device, internet access, and appropriate software to use the Services. Standard data and
usage fees may apply. The Services are intended for individuals who are at least 18 years old or who are legally
authorized to consent to healthcare in their jurisdiction.

Your Relationship with LIVVO
LIVVO does not employ medical providers or offer medical services directly. LIVVO partners with licensed clinicians and
medical groups through independent agreements (e.g., via OpenLoop Health, Inc and affiliated networks).

Any diagnosis, prescription, or treatment you receive through the Services is provided by an independent medical
provider licensed in your state. These providers are solely responsible for your care and operate independently of LIVVO.

Independent Medical Judgment
LIVVO does not interfere with or influence clinical decisions made by licensed providers. The provider you interact with
is fully responsible for determining if treatment is appropriate and may recommend medication, diagnostic testing, or refer you to another healthcare professional as needed.

Use of Compounded Medications
If clinically appropriate, providers may prescribe compounded medications, including but not limited to GLP-1 and
GLP-1/GIP therapies. These prescriptions are processed through our partnered compounding pharmacies. The
prescribing and dispensing of compounded medication is conducted under state and federal regulatory compliance and
solely at the provider's discretion.

Telehealth Provider
LIVVO does not employ medical providers or offer medical services directly. Availability of Services & State Coverage
LIVVO currently offers services in all 50 U.S. states and Washington, D.C through our telehealth partner OpenLoop Health, Inc. However, some Services may not be available in certain jurisdictions or may be subject to regulatory changes. With our partner OpenLoop Health Inc, our service is licensed to operate in all 50 U.S. states, ensuring compliance with jurisdictional requirements within the country. We adhere strictly to individual state laws and regulations, including those that may impose additional restrictions on specific services in certain states.

Electronic Communications and TCPA Compliance
By using LIVVO, you agree to receive all notices, disclosures, and other communications electronically, including emails,
SMS messages, phone calls, and push notifications. These may include updates about your treatment, account
notifications, appointment reminders, or marketing promotions.

By providing your phone number, you expressly consent to receive autodialed and/or prerecorded calls or texts
(including marketing messages) under the Telephone Consumer Protection Act (TCPA). Message and data rates may apply.

You may opt out of marketing messages at any time by replying "STOP" or updating your preferences. Transactional communications related to your care will continue.

Protected Health Information (PHI)
LIVVO may handle or facilitate access to Protected Health Information ("PHI") when acting as a Business Associate to
partner medical groups or pharmacies. We use HIPAA-compliant systems to store and transmit medical data securely.
Your providers may also share your PHI with pharmacies and labs for coordination of care.

Subscription Services & Payment
Some LIVVO services are offered on a subscription basis. You authorize recurring charges through Stripe. You may cancel at any time by emailing patient@itslivvo.com.

Subscription fees are non-refundable unless stated otherwise. LIVVO reserves the right to update pricing or cancel services at any time with notice. It is your responsibility to keep your payment method up to date.

Refunds and Payment Disputes
All payments are final. LIVVO does not issue refunds after a consultation or medication order. Exceptions may be
granted in cases of duplicate charges or billing errors, if reported within 7 days of the transaction. Refund requests should be sent to patient@itslivvo.com.

Termination and Suspension of Account
LIVVO reserves the right to suspend or terminate your access to the Services, with or without notice, for any reason including but not limited to misuse, non-payment, or violation of these Terms. You may also terminate your use of the Services at any time by notifying us.

Modifications to Services
LIVVO may change, update, or discontinue any part of the Site or Services at any time. This includes altering
subscription structures, product offerings, or provider access. LIVVO will not be liable for any modifications or
discontinuation.

Disclaimer of Medical Outcomes
LIVVO does not guarantee results from any treatment or medication. Individual outcomes vary. You agree to assume all
risks associated with medical decisions made through LIVVO's platform.

Digital Marketing and Advertising
LIVVO may advertise on platforms such as Meta, Google, and TikTok. We may track user behavior via cookies or pixels
in accordance with our Privacy Policy. We do not share personal health information with advertisers.

Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Texas. All legal disputes must be resolved in Travis County, Texas.

User Representations and Warranties
By using the Site or Services, you represent, warrant, and agree that:
1. All information you submit during registration or through the Services is true, accurate, current, and complete.
2. You will maintain and promptly update your information to ensure it remains accurate.
3. You have the legal capacity to agree to and comply with these Terms.
4. You are at least 18 years old or legally authorized to consent to healthcare services in your jurisdiction.
5. You will not access the Site or Services through automated means or bots.
6. You will not use the Site or Services for any unlawful or unauthorized purpose.
7. Your use of the Site and Services complies with all applicable laws and regulations.
If any information you provide is untrue, inaccurate, outdated, or incomplete, LIVVO reserves the right to suspend or terminate your access to the Services.

Indemnification
You agree to indemnify, defend, and hold harmless LIVVO, its officers, directors, employees, agents, affiliates,
providers, contractors, and partners from and against any loss, liability, claim, demand, or expense (including
reasonable attorneys' fees) arising from:

- Your use of the Site or Services
- Any violation of these Terms
- Your violation of the rights of a third party
- Any breach of your representations and warranties

LIVVO reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are
required to indemnify us, and you agree to cooperate fully in such defense.

Medical Disclaimers
THE SERVICES AND INFORMATION OFFERED THROUGH LIVVO ARE PROVIDED ON AN "AS IS" AND "AS
AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVVO DISCLAIMS ALL WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, COMPLETENESS, OR RELIABILITY OF INFORMATION

LIVVO DOES NOT GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY
DEFECTS WILL BE CORRECTED.

Any material downloaded or otherwise obtained through the Site is accessed at your own discretion and risk. LIVVO is
not responsible for any harm to your device or data loss as a result of such use. LIVVO DOES NOT CONTROL OR ENDORSE THE QUALITY, ACCURACY, OR RELIABILITY OF INFORMATION FROM ANY THIRD PARTY FEATURED ON THE SITE, INCLUDING MEDICAL PROVIDERS OR PHARMACIES.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LIVVO AND ITS AFFILIATES, PARTNERS, PROVIDERS, AND
SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

- LOST PROFITS
- LOST DATA
- DAMAGES FOR PERSONAL INJURY
- SERVICE INTERRUPTIONS
- PROCUREMENT OF SUBSTITUTE SERVICES

LIVVO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT
PAID BY YOU TO LIVVO FOR THE SERVICES IN THE 6 MONTHS PRIOR TO THE CLAIM. ANY CLAIM YOU MAY HAVE MUST BE FILED WITHIN ONE (1) YEAR FROM THE DATE IT AROSE.

Notice
LIVVO may provide you with notices regarding these Terms, your account, or the Services using any contact method you've provided, including email, SMS, or physical mail. You are responsible for maintaining accurate contact
information and reviewing any communications from LIVVO.

Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. LIVVO may assign these
Terms at any time without notice to you, including to any successor entity in connection with a merger, sale, or
reorganization.

Entire Agreement
These Terms of Use, together with our Privacy Policy and any other terms referenced herein, constitute the entire
agreement between you and LIVVO regarding the use of the Site and Services.

If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect. Our failure to enforce any part of these Terms does not waive our right to enforce them at a later time. No agency, joint venture, employment, or partnership relationship is created as a result of these Terms.
